On Monday, July 20, the Public Service Commission of Wisconsin informed the Financial Times that it had "declined to act on the relevant application," thereby upholding credit collateral regulations for the utility company We Energies. The regulation requires Oracle to provide approximately $7 billion in guarantees in the form of cash or letters of credit, resulting in additional annual costs of over $100 million. Oracle stated that it hopes the commission will reconsider its stance after fully considering the job creation and economic growth brought by this $15 billion project, and affirmed that it remains "committed to providing the necessary financial guarantees to ensure that Wisconsin electricity users bear no risk."

The ruling constitutes an initial setback for Oracle. Meanwhile, S&P downgraded Oracle's credit rating to BBB- earlier this month, just one notch above junk status, citing unclear profit prospects amid heavy investment in AI. The deterioration in credit ratings could also affect tens of billions of dollars in construction debt underwritten by Wall Street banks for its data center construction, further increasing overall financing risks.
Oracle Seeks Judicial Resolution
Faced with regulatory obstacles, Oracle filed a lawsuit in county court last month, seeking to overturn the aforementioned regulations and requesting permission for We Energies to be exempt from the requirements. In the lawsuit, Oracle pointed out that the regulation poses a "risk of imposing heavy financing costs on Oracle and may hinder future investments in Wisconsin."
The regulator's refusal to respond means Oracle's legal battle will continue. As concerns grow that electricity users will ultimately bear the bills for supporting power facility construction for data centers, 24 states have currently approved "large user electricity rate clauses," setting pricing and access conditions for data centers and other large industrial users.
Such clauses typically require data centers to commit to minimum contract terms, pay exit fees, and provide collateral guarantees. Large technology companies and manufacturers have objected, arguing that these clauses are discriminatory and impose excessive costs on them.
